These Terms of Service ("Terms") govern access to and use of the Prospalytics application, client area, accounts, dashboards, reports, exports, scheduled monitoring, support services, and related paid or account-based services (collectively, the "Service"). These Terms form a binding agreement between DataHarbor Labs and Prospalytics ("Prospalytics," "we," "us," or "our") and the person or organization using the Service ("Customer," "you," or "your").
If you use the Service on behalf of a company, organization, or other legal entity, you represent that you have authority to bind that entity. In that case, "you" and "Customer" refer to that entity and its authorized users. If you do not agree to these Terms, do not create an account, purchase a plan, access the client area, or use the Service.
The public marketing website is governed separately by the Prospalytics Terms of Use. The Privacy Policy explains how we collect, use, disclose, retain, and protect information, including cookie and browser-storage practices.
1. Business-use service and eligibility
The Service is intended for U.S. business and professional use by users who are at least 18 years old. The Service is not intended for personal, family, household, children’s, employment-screening, credit, insurance, housing, healthcare, criminal-justice, law-enforcement, immigration, education, lending, or other regulated eligibility decisions about individuals.
You may not use the Service if you are barred from receiving it under U.S. law, sanctions rules, export controls, or other applicable laws. You are responsible for ensuring that your use of the Service is lawful in every jurisdiction where you access or use it.
2. Orders, subscriptions, credits, and priority of documents
Your access may be governed by an online plan, checkout page, invoice, order form, statement of work, enterprise agreement, or other written ordering document (each, an "Order"). An Order may specify plan limits, subscription term, included reports, credits, fees, renewal terms, support level, emergency or priority processing, usage limits, or special terms.
If an Order conflicts with these Terms, the Order controls only for the conflicting provision and only for the account or services covered by that Order. A data processing addendum, business associate agreement, security addendum, source-platform addendum, or other specialized data agreement must be separately signed by both parties before the relevant regulated data or special processing is submitted to the Service.
Unless an Order states otherwise:
- fees are charged in advance and are non-refundable except as provided in the refund eligibility rules below, expressly stated in an Order, or required by law;
- subscriptions renew for the renewal period shown at checkout or in the Order until cancelled;
- credits are non-transferable, have no cash value, may be subject to expiration, and may be consumed according to the plan rules shown in the Service or Order;
- emergency or priority processing may consume different credits or fees than standard processing;
- unused credits are not refundable except as provided in the refund eligibility rules below, expressly stated in an Order, or required by law;
- taxes, duties, and similar governmental charges are your responsibility unless we are legally required to collect them; and
- access may be suspended or downgraded for non-payment, chargebacks, payment failure, abuse, excessive usage, or breach of these Terms.
Refund policy
Unless an Order or applicable law provides otherwise, fees for a paid plan, subscription cycle, or credit package are eligible for a refund only if both of the following conditions are met: (a) you request the refund before the end of the applicable 30-day billing cycle for that purchase; and (b) no credits from that plan, cycle, or package have been used. Use of one or more credits makes that plan, cycle, or package non-refundable.
After the applicable 30-day billing cycle ends or the next billing cycle begins, fees for the previous cycle are non-refundable, even if some or all credits remain unused. Using free or non-credit-consuming features by itself does not make a plan, cycle, or package non-refundable. Cancellation stops future renewals; it does not automatically refund fees already paid. Approved refunds will be issued to the original payment method unless the payment processor or applicable law requires another method.
If a third-party payment processor is used, the processor’s terms and privacy practices apply to payment processing. We are not responsible for payment-processor acts or omissions except to the extent required by law.
3. Accounts and authorized users
You must provide accurate account information and keep it current. You are responsible for all activity under your account, workspace, administrators, authorized users, delegates, credentials, and devices. You must keep passwords, tokens, invite links, signed URLs, and credentials confidential and promptly notify us of suspected compromise.
You are responsible for configuring permissions, removing users who should no longer have access, and ensuring that each authorized user complies with these Terms. We may treat instructions from your administrators, delegates, or authorized users as instructions from you.
You may not share accounts, circumvent seat limits, resell user access, create false accounts, misrepresent your identity or authority, or use another person’s account without permission.
4. What Prospalytics provides
Prospalytics provides market-intelligence and social-listening tools that may allow you to:
- select public online communities, subreddits, or other public sources;
- submit research objectives, prompts, roles, sectors, competitors, entities, keywords, aspects, and similar instructions;
- run one-time, emergency, preview, discovery, global, community-specific search, or scheduled analyses;
- generate AI-assisted reports, charts, summaries, clusters, scores, structured exports, and presentation or file artifacts;
- store report history, favorites, folders, schedules, settings, and monitoring configurations;
- invite team members and delegate workspace access; and
- request support and account administration.
Features, source availability, report formats, supported platforms, credit consumption, limits, pricing, and output quality may change over time. We may modify, add, suspend, or discontinue features as needed for security, legal compliance, platform changes, vendor changes, product improvement, or business reasons.
5. Customer content and instructions
"Customer Content" means information, materials, prompts, instructions, files, questions, selected sources, settings, schedules, support messages, and other content you or your authorized users submit to the Service, excluding Prospalytics technology, public-source content, and third-party materials.
You retain ownership of Customer Content as between you and Prospalytics. You grant us a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, display, analyze, create derivative operational data from, and otherwise use Customer Content as necessary to provide, secure, support, maintain, improve, and enforce the Service and as otherwise permitted by these Terms, the Privacy Policy, and any applicable Order.
You represent and warrant that you have all rights, permissions, consents, and legal bases necessary to submit Customer Content and to authorize our processing of it. You are responsible for the accuracy, legality, appropriateness, and quality of Customer Content and for your decisions based on Service outputs.
Do not submit regulated or sensitive information unless we have expressly agreed in writing to process it for a specific purpose. Prohibited or restricted data includes Social Security numbers, government ID numbers, payment-card numbers, protected health information, children’s data, biometric data, precise geolocation, private credentials, private messages, non-public platform data, and other information that would require specialized legal or security obligations not expressly agreed in writing.
6. Public-source content and source-platform restrictions
The Service may process content from public sources, Reddit, public communities, public websites, publicly available platforms, and similar sources ("Public-Source Content"). Public-Source Content may be owned by its authors, source platforms, publishers, or other third parties. Prospalytics does not claim ownership of Public-Source Content.
Public-Source Content may be incomplete, inaccurate, deleted, edited, rate-limited, restricted, unavailable, or subject to source-platform terms, technical limits, licenses, takedown obligations, intellectual-property restrictions, privacy restrictions, and access changes. We are not affiliated with Reddit. Reddit does not sponsor, endorse, or control Prospalytics.
You may use Public-Source Content and outputs containing Public-Source Content only as permitted by these Terms, applicable law, source-platform rules, source licenses, and any usage restrictions shown in the Service or an Order. You must not:
- use Public-Source Content to identify, contact, track, target, profile, dox, harass, threaten, shame, or surveil individual authors;
- use Public-Source Content for background checks, employment decisions, credit decisions, insurance decisions, housing decisions, healthcare decisions, law-enforcement assistance, government surveillance, immigration decisions, education decisions, lending decisions, or other regulated eligibility decisions;
- use Public-Source Content for ad targeting, cross-context behavioral advertising, political microtargeting, contact enrichment, lead lists, people search, identity resolution, or sale or sharing of personal information;
- use Public-Source Content to train, fine-tune, evaluate, or improve an AI or machine-learning model unless you have all necessary rights and our prior written permission;
- remove attribution, source notices, copyright notices, license notices, or platform-required notices where they are required;
- store, redistribute, or republish raw Public-Source Content outside the Service where prohibited by source-platform rules or law;
- circumvent source-platform rate limits, robots controls, access controls, authentication, source-platform access terms or technical protections; or
- ignore deletion, removal, takedown, privacy, or rights requests that apply to Public-Source Content.
If we receive a valid removal request, platform removal notice, legal request, rights request, or deletion signal affecting Public-Source Content, we may remove, suppress, restrict, replace, de-identify, or stop displaying affected content or outputs. We may also suspend or terminate access if your use of Public-Source Content creates legal, privacy, platform, or safety risk.
7. AI-assisted outputs, reports, and decision responsibility
Reports, summaries, classifications, scores, sentiment indicators, charts, recommendations, Decision Cards, and other outputs may be generated or assisted by automated systems, AI models, retrieval systems, public-source analysis, statistical processing, and human-defined rules.
AI and statistical systems are probabilistic. Outputs may be inaccurate, incomplete, outdated, biased, irrelevant, non-representative, offensive, or unsuitable for your use case. Outputs may reflect errors or gaps in source data, source-platform limits, sampling limits, prompt ambiguity, model limitations, retrieval errors, vendor availability, or other factors outside our control.
You must evaluate every output for accuracy, completeness, appropriateness, legality, and business suitability before relying on it, sharing it, or using it. Use human review, independent verification, qualified professional review, and your own judgment where appropriate. You must not rely on any output as the sole source of truth, sole factual source, or sole basis for a material business decision.
Prospalytics provides market-intelligence and decision-support outputs only. Prospalytics does not provide legal, financial, tax, investment, medical, employment, compliance, safety, product-safety, insurance, law-enforcement, immigration, education, housing, credit, or other regulated professional advice. Outputs are not a substitute for professional advice, licensed expert review, human judgment, or your own legal and compliance assessment.
You must not use any output relating to an identifiable person, public-source author, employee, applicant, customer, patient, student, tenant, borrower, insured person, protected class, or other individual for any purpose that could have a legal, eligibility, disciplinary, safety, financial, medical, employment, housing, insurance, educational, immigration, law-enforcement, or other material impact on that person.
Recommendations and Decision Cards are analytical suggestions based on observed patterns in available data. They are not instructions, guarantees, predictions of business results, or statements that a specific action is lawful, safe, compliant, profitable, or appropriate for your organization.
8. Deliverables and permitted internal use
Subject to payment and compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use reports, exports, dashboards, and artifacts generated for your account ("Deliverables") for your internal business purposes in the United States.
You may share Deliverables within your organization and with your professional advisors, contractors, investors, or consultants who need to review them for your internal business purposes, provided that you remain responsible for their use and disclosure. Unless an Order expressly allows it, you may not resell, sublicense, publicly distribute, publish, syndicate, or commercialize Deliverables as a standalone product or dataset.
You may not use Deliverables to create or enhance a competing social-listening, data-broker, people-search, ad-targeting, scraping, dataset resale, or market-intelligence product without our prior written permission.
9. Acceptable use
You may use the Service only for lawful, authorized, business-level market research, social listening, analytics, and internal decision support. You are responsible for your Customer Content, your instructions, your use of Deliverables, and all actions taken by your authorized users.
You must not use, attempt to use, or allow anyone else to use the Service, Customer Content, Public-Source Content, Deliverables, exports, account features, or support systems to:
- violate any law, regulation, contract, source-platform rule, intellectual-property right, privacy right, publicity right, confidentiality obligation, export-control rule, sanctions rule, or these Terms;
- submit malware, malicious code, credentials, secrets, payment-card data, protected health information, children’s data, biometric data, precise geolocation, private messages, non-public platform data, or other regulated or sensitive information unless we have expressly agreed in writing to process that data for a specific purpose;
- threaten, intimidate, harass, defame, shame, dox, stalk, surveil, exploit, discriminate against, or endanger any person or group;
- promote, facilitate, plan, or materially assist self-harm, disordered eating, sexual violence, non-consensual intimate content, child sexual abuse material, grooming, exploitation of minors, terrorism, hate-based violence, weapons development or procurement, CBRNE activity, illicit goods or services, real-money gambling, or other harmful or illegal activity;
- deceive, defraud, scam, spam, impersonate, misrepresent authority, manipulate people, exploit vulnerabilities, or interfere with a person’s access to education, housing, employment, credit, insurance, legal services, medical services, essential government services, or other critical services;
- conduct political campaigning, lobbying, election interference, voter suppression, voter demobilization, political microtargeting, or political persuasion based on profiling or personal data;
- automate or materially support high-stakes or high-impact decisions without meaningful human review, including decisions involving critical infrastructure, education, housing, employment, financial activities, credit, insurance, legal, medical, essential government services, product-safety components, national security, migration, or law enforcement;
- make or materially support any decision about a person that could have a legal, eligibility, disciplinary, safety, financial, medical, employment, housing, insurance, educational, immigration, law-enforcement, or other material impact on that person;
- provide tailored advice that legally requires a licensed professional, including legal, medical, financial, tax, investment, insurance, safety, or compliance advice, without appropriate involvement by a qualified licensed professional;
- aggregate, monitor, profile, classify, infer, or distribute private or sensitive information about individuals without authorization, including social scoring, sensitive-attribute inference, workplace or education emotion inference, criminal-risk prediction based solely on traits or profiling, people search, lead lists, identity resolution, contact enrichment, background checks, or data-broker activity;
- identify, contact, target, shame, or track public-source authors or individual users based on Public-Source Content;
- use the Service for targeted advertising, cross-context behavioral advertising, retargeting, sale or sharing of personal information, or audience building based on individual-level Public-Source Content;
- reverse engineer, decompile, copy, benchmark for competitive purposes, scrape, crawl, overload, probe, attack, bypass rate limits, bypass safeguards, circumvent access controls, or interfere with authentication, storage boundaries, row-level security, signed URLs, or security controls;
- use outputs, prompts, reports, source content, or system behavior to build, train, fine-tune, evaluate, benchmark, or improve a competing AI model, dataset, social-listening product, data-broker product, people-search product, scraping product, or market-intelligence product without all necessary rights and our prior written permission;
- misrepresent outputs as comprehensive, verified, professional advice, human-authored research, official statements of source platforms, or endorsements by Reddit, OpenAI, source authors, or any third party;
- remove, obscure, or alter proprietary notices, attribution, source limitations, AI-assistance notices, disclaimers, or usage restrictions; or
- encourage, enable, assist, or allow any third party to do any of the above.
We may investigate suspected violations and may suspend, restrict, refuse, or terminate access where we reasonably believe use creates legal, security, privacy, safety, platform, vendor, operational, reputational, or policy risk. We may also refuse to generate, publish, export, or deliver outputs that appear to violate these Terms or our safety standards.
10. Third-party services and vendors
The Service may depend on third-party services, platforms, models, vendors, and infrastructure providers, such as hosting, authentication, database, storage, serverless functions, public-source access methods, email providers, payment processors, AI/inference providers, and security tools.
Third-party services may change, suspend, rate-limit, terminate, restrict, or charge for access. Those changes may affect Prospalytics features, pricing, source coverage, report quality, latency, availability, or output format. We are not responsible for third-party services except to the extent required by law or expressly stated in an Order.
You must comply with all third-party terms, source-platform restrictions, and legal requirements that apply to your use of Service outputs.
11. Privacy and data protection
Our Privacy Policy explains how we collect, use, disclose, retain, and protect information, including cookie and browser-storage practices. By using the Service, you acknowledge the Privacy Policy.
If you require a data processing addendum, security exhibit, subprocessor list, or special data terms, those terms must be separately agreed in writing. Unless expressly stated in a signed agreement, you must not submit data that requires specialized regulatory treatment, including protected health information, payment-card data, children’s data, or data subject to employment, credit, insurance, housing, healthcare, criminal-justice, education, or similar regulated decision-making requirements.
12. Do Not Sell or Share My Personal Information / Your Privacy Choices
This section is included in these Terms as a customer-facing privacy-choice notice and must be read together with the Privacy Policy.
Prospalytics does not currently sell account personal information for money. Prospalytics does not currently share account personal information for cross-context behavioral advertising. The reviewed implementation does not currently use third-party advertising cookies, retargeting pixels, or cross-context behavioral advertising technologies.
Prospalytics is designed to provide business-level market intelligence, not personal-data brokerage. However, some Deliverables may contain limited Public-Source Content, public usernames, public URLs, public excerpts, or public metadata where relevant to a customer’s research. You are not permitted to use the Service or Deliverables to sell or share personal information, target advertising to individuals, identify or contact public authors, build lead lists, enrich personal profiles, conduct background checks, perform surveillance, or make decisions about individuals.
If you are a resident of a state that provides opt-out rights and you want to submit a request titled "Do Not Sell or Share My Personal Information," "Your Privacy Choices," or a similar state privacy request, email prospalyticshelp@gmail.com with enough information for us to verify and process the request. If your request relates to Public-Source Content, include the relevant URL, username/handle, subreddit/community, approximate date, and report reference if known.
Because we do not currently engage in targeted advertising or cross-context behavioral advertising in the reviewed implementation, Global Privacy Control and similar opt-out signals do not currently change site behavior. If we later add processing subject to opt-out rights, we will update our Privacy Policy and implement legally required opt-out mechanisms.
This section does not limit rights you may have under applicable privacy laws, and it does not authorize any use of the Service prohibited by these Terms.
13. Confidentiality
"Confidential Information" means non-public information disclosed by one party to the other that is marked confidential or should reasonably be understood as confidential given the nature of the information and circumstances of disclosure. Customer Content, non-public Deliverables, account information, pricing terms, security information, product roadmaps, and non-public business information may be Confidential Information.
Each party will use the other party’s Confidential Information only to perform under these Terms or an Order, will protect it using reasonable care, and will not disclose it except to personnel, contractors, advisors, service providers, or legal recipients who need to know it and are bound by confidentiality obligations, or as required by law.
Confidential Information does not include information that is publicly available without breach, already known without confidentiality obligations, independently developed without use of the Confidential Information, or rightfully received from a third party without confidentiality obligations.
14. Intellectual property
As between the parties, Prospalytics owns the Service, website, application, workflows, software, code, designs, documentation, methods, templates, prompts created by us, user interfaces, models or model configurations created by us, know-how, trademarks, logos, and other Prospalytics technology and intellectual property.
You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, or create derivative works from the Service except as expressly allowed by these Terms or an Order.
As between you and Prospalytics, you retain ownership of Customer Content. Public-Source Content remains subject to the rights of its authors, publishers, platforms, and other third parties. Deliverables are licensed to you as described in these Terms and may include Prospalytics technology, analysis, formatting, and third-party or Public-Source Content restrictions.
If you provide suggestions, feedback, ideas, or improvement requests, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction or compensation, provided that we do not disclose your Confidential Information in violation of these Terms.
15. Security
We maintain reasonable safeguards designed to protect the Service. You are responsible for maintaining the security of your accounts, devices, passwords, credentials, team access, invite links, downloaded files, and local copies of Deliverables.
You must promptly notify us of suspected unauthorized access, credential compromise, report exposure, signed URL leakage, or misuse of the Service. You may not conduct penetration tests, vulnerability scans, load tests, or security research against the Service without our prior written permission.
16. Beta, free, trial, preview, and demo features
Beta, free, trial, preview, exploratory, sample, and demo features may be incomplete, unavailable, inaccurate, rate-limited, unsupported, or changed without notice. We may modify or discontinue them at any time. Unless an Order states otherwise, they are provided as-is and without service-level commitments.
17. Suspension and termination
We may suspend, restrict, or terminate access to the Service if:
- you breach these Terms, an Order, source-platform restrictions, or applicable law;
- payment fails or amounts are overdue;
- use of the Service creates security, privacy, legal, vendor, platform, operational, or reputational risk;
- an account appears fraudulent, abusive, compromised, or unauthorized;
- source-platform access, vendor access, or legal requirements prevent us from continuing a feature; or
- we discontinue the Service or a material part of it.
You may stop using the Service at any time. Stopping use does not relieve you of payment obligations already incurred. Upon termination, your right to access the Service ends, but provisions that by their nature should survive will survive, including payment obligations, confidentiality, intellectual property, usage restrictions, privacy-choice obligations, disclaimers, limitations of liability, indemnity, dispute terms, and any provisions necessary to interpret or enforce these Terms.
18. Disclaimers
To the maximum extent permitted by law, the Service and Deliverables are provided "as is" and "as available." We disclaim all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, reliability, uninterrupted operation, and error-free performance.
We do not warrant that Public-Source Content is complete, lawful for every use, current, available, representative, accurate, or free from third-party rights. We do not warrant that AI-assisted outputs are accurate, complete, unbiased, non-offensive, unique, suitable for your decisions, or sufficient for legal, medical, financial, safety, employment, compliance, or other regulated purposes. We do not warrant that third-party platforms, vendors, models, or source data will remain available.
You are responsible for independently validating important claims, reviewing outputs with qualified humans, ensuring your use is lawful and appropriate, and deciding whether and how to use any Deliverable. Some jurisdictions do not allow certain disclaimers, so some disclaimers may not apply to you.
19. Limitation of liability
To the maximum extent permitted by law, Prospalytics and its owners, officers, employees, contractors, affiliates, suppliers, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, or for lost profits, lost revenue, lost savings, loss of goodwill, business interruption, loss of data, substitute services, or damages arising from reliance on outputs, even if advised of the possibility of such damages.
To the maximum extent permitted by law, our total liability arising out of or related to the Service, Deliverables, these Terms, or an Order will not exceed the greater of: (a) the amounts you paid to us for the Service giving rise to the claim during the three months before the event giving rise to liability; or (b) USD $100.
The limitations above apply to all theories of liability, whether contract, tort, negligence, strict liability, statute, or otherwise, and even if a remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations, so some limitations may not apply to you.
20. Indemnity
You will defend, indemnify, and hold harmless Prospalytics and its owners, officers, employees, contractors, affiliates, suppliers, and licensors from and against claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:
- Customer Content or instructions;
- your use of the Service or Deliverables;
- your breach of these Terms, an Order, source-platform restrictions, or applicable law;
- your misuse of Public-Source Content;
- your violation of privacy, intellectual-property, publicity, contract, or other rights;
- your regulated, individual-level, advertising, surveillance, background-check, or prohibited use of outputs; or
- activity by your authorized users, administrators, delegates, contractors, or other persons using your account or workspace.
We may control the defense of any matter subject to indemnification if we reasonably believe the matter could affect our rights, reputation, security, platform access, or other customers. You may not settle any matter in a way that imposes obligations on us or admits fault by us without our prior written consent.
21. Export, sanctions, and government use
You must comply with U.S. export controls, sanctions laws, anti-corruption laws, and other applicable trade laws. You may not use the Service in or for embargoed jurisdictions, sanctioned parties, prohibited end uses, or unlawful government-surveillance activities.
If the Service is used by or on behalf of the U.S. government, it is provided as a commercial item with only the rights granted in these Terms and any applicable Order.
22. Changes to the Service or Terms
We may update these Terms from time to time. The effective date above indicates the current version. If we make material changes, we may provide notice through the website, account area, email, or other reasonable means. Updated Terms apply prospectively unless otherwise required by law. Your continued use of the Service after updated Terms become effective constitutes acceptance of the updated Terms.
23. Governing law and disputes
These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law rules. The parties consent to exclusive jurisdiction and venue in the state and federal courts located in Ohio for disputes arising out of or related to these Terms, unless an Order states otherwise or applicable law requires another forum.
Before filing a claim, the parties will attempt in good faith to resolve the dispute informally by written notice and reasonable discussion for at least 30 days, unless emergency injunctive relief is needed.
24. Miscellaneous
These Terms, together with any applicable Order, Privacy Policy, and incorporated terms, are the entire agreement between you and us regarding the Service and supersede prior or contemporaneous agreements on the same subject. You may not assign these Terms without our prior written consent, except to a successor in connection with a merger, acquisition, or sale of substantially all assets, provided the successor is not a competitor and agrees to be bound. We may assign these Terms as part of a merger, acquisition, reorganization, financing, or sale of assets.
If any provision is unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. No agency, partnership, joint venture, or employment relationship is created. Notices may be provided electronically unless law requires otherwise. Section headings are for convenience only.
